1. Terms of Engagement
By engaging Yoike Solutions Ltd (“the Provider”) for professional services, you (“the Client”) agree to these Terms of Service. These terms govern all managed subscriptions, asset acquisitions, and custom digital services provided.
2. Scope of Services
The Provider delivers bespoke web design, managed infrastructure, SSL certification, Google Business Profile management, technical SEO, and routine maintenance. The specific deliverables are determined by the selected service tier (Standard, Asset Acquisition, or Custom).
3. Billing & Professional Fees
Standard subscriptions are billed monthly at KES 1,020 via integrated mobile payment systems. Initial service is pro-rated from the commencement date. Subsequent cycles are billed on the 1st of each calendar month. Fees are payable upon receipt of invoice.
Accounts remaining unsettled 12 hours post-invoice are classified as past due. Following a grace period, services may be subject to temporary suspension. Full functionality is restored immediately upon account settlement.
4. Termination of Service
Subscription clients may terminate their agreement at any time. Termination becomes effective at the conclusion of the current billing cycle. No pro-rated refunds are issued for remaining days. Asset Acquisition clients retain outright ownership and are not subject to recurring fees.
5. Intellectual Property & Ownership
For active subscriptions, the Provider retains ownership of all source code and design assets. Upon successful execution of an Asset Acquisition agreement and full payment of the acquisition fee, 100% of the intellectual property and title to the source code is transferred to the Client.
6. Limitation of Liability
Yoike Solutions Ltd shall not be held liable for indirect, incidental, or consequential damages. Aggregate liability for any claim arising from professional services shall not exceed the total fees paid by the Client during the twelve (12) months preceding the claim.
7. Governing Law & Jurisdiction
These terms are governed by the laws of the Republic of Kenya. Any disputes arising shall be resolved through binding arbitration in Nairobi, Kenya.
